Terms of Service

These Terms of Service ("Terms") govern the use of the AgentLane platform, including our website, partner portal, and AI agent infrastructure (together, the "Service"), by agency partners ("Partners") and their authorised users. By creating an account or using the Service, you agree to these Terms.

1. License Grant

Subject to your compliance with these Terms and payment of applicable fees, AgentLane grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for the purpose of deploying and reselling white-label AI agents to your own end-customers ("Clients").

This licence does not transfer any ownership of the Service, its underlying software, or AgentLane's intellectual property. AgentLane reserves the right to suspend or revoke this licence for breach of these Terms, non-payment, or misuse of the Service.

2. Acceptable Use

You agree not to use the Service to:

  • Send unsolicited bulk messages ("spam") or engage in any communication practice that violates applicable anti-spam, telemarketing, or messaging regulations
  • Harass, defraud, or deceive any recipient of an AI agent's communications
  • Circumvent, disable, or interfere with security features of the Service
  • Use the Service for any unlawful purpose, or in a manner that infringes the rights of any third party

Compliance with end-customer data laws is the Partner's responsibility, not AgentLane's. AgentLane provides the infrastructure and, as described in our Privacy Policy, applies GDPR-level data handling as a baseline standard. However, you (the Partner) are responsible for ensuring that your own use of the Service — including how you obtain consent from, communicate with, and market to your Clients' customers — complies with all applicable law in the jurisdictions where you operate, including but not limited to the Telephone Consumer Protection Act (TCPA), carrier 10DLC registration requirements, and the GDPR. AgentLane acts as a data processor on your behalf where applicable; you remain the data controller for your Clients' end-customer data and are responsible for having a valid legal basis for processing it.

3. Partner Obligations

As a Partner, you agree to:

  • Provide accurate, current, and complete information when creating and maintaining your account, including billing and contact credentials
  • Keep your login credentials confidential and promptly notify us of any unauthorised access
  • Comply with all applicable law in connection with your use of the Service and your relationship with your Clients
  • Ensure that any representations you make to your Clients about the Service are accurate and not misleading, particularly where the Service is white-labelled under your own brand
  • Pay all applicable fees on time, as set out in your plan and invoices

4. Fees and Billing

Fees are billed as described on our Pricing page and in your account, via our payment processor (Stripe). Fees are non-refundable except as set out in our Refund Policy. Cancellation terms are set out in our Cancellation Policy.

5. Limitation of Liability

To the maximum extent permitted by applicable law, AgentLane and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service, whether based on contract, tort, or any other legal theory, even if advised of the possibility of such damages.

AgentLane's total aggregate liability arising out of or in connection with these Terms or the Service shall not exceed the total fees paid by you to AgentLane in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by negligence, or fraud.

6. Service Levels

Uptime commitments depend on your platform plan:

Growth 99.5% monthly uptime
Agency 99.9% monthly uptime, dedicated support channel

Uptime is measured against the core Service (partner portal and n8n workflow execution), excluding scheduled maintenance windows communicated in advance and events outside AgentLane's reasonable control.

7. Termination

Either party may terminate an account subject to the notice period described in our Cancellation Policy. AgentLane may suspend or terminate your access immediately for material breach of these Terms, including non-payment or unlawful use of the Service.

8. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified to Partners via email, consistent with the notice practice described in our Privacy Policy. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

9. Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
